1. Introduction
These Service Terms govern the use of the CY.SEND digital rewards platform and related services by business customers. They supplement the general Website Terms of Use and provide specific provisions for merchants and API users.
2. Definitions
"Merchant" refers to any business entity that uses the CY.SEND platform to purchase or distribute digital rewards. "API" refers to the Application Programming Interface provided by CY.SEND for programmatic access to the platform.
3. Service Description
CY.SEND provides a platform for businesses to instantly reward customers, employees, and partners with a wide range of digital products, including e-gift cards, mobile top-ups, and more. Our services are tailored for various industries, including insurance, healthcare, gaming, gig economy, banking, retail, and travel.
4. Merchant Obligations
Merchants are responsible for providing accurate information, complying with all applicable laws, and ensuring that their use of the platform is consistent with these terms and our Acceptable Use Policy.
5. API Access and Use
Merchants may access the CY.SEND platform programmatically through our API. API access is subject to these terms and any additional API documentation provided by CY.SEND. We reserve the right to limit or suspend API access for any reason.
6. E-Gift Card Reseller Terms
CY.SEND acts as an authorized reseller of e-gift cards. All e-gift cards are subject to the terms and conditions of the respective Product Issuer. CY.SEND is not responsible for the validity, redemption, or any issues related to the use of e-gift cards within the issuer's ecosystem.
7. Pricing and Payment
Pricing for our services is provided in a separate pricing schedule or as agreed upon in a separate agreement. All payments are due in accordance with the agreed-upon terms. All sales are final and non-refundable.
8. Intellectual Property
All intellectual property rights in the CY.SEND platform and services are owned by CY.TALK SWITZERLAND S.A. Merchants are granted a limited, non-exclusive license to use the platform and API in accordance with these terms.
9. Data Protection and Privacy Governance
Both parties agree to comply with all applicable data protection laws, including the Swiss Federal Act on Data Protection (FADP) and the EU General Data Protection Regulation (GDPR) where applicable. Our Privacy Policy provides detailed information on how we process personal data.
CY.TALK SWITZERLAND S.A. holds ISO/IEC 27701:2019 certification for its Privacy Information Management System (PIMS), an extension of our ISO/IEC 27001 ISMS. This certification confirms that our privacy governance framework has been independently audited against internationally recognised standards for PII management. Merchants and API customers may rely on this certification as evidence of our compliance with applicable data protection obligations in the context of any data processing activities carried out on their behalf.
Where CY.SEND acts as a data processor on behalf of a Merchant (for example, processing end-user personal data to fulfil top-up or e-gift card orders), the parties agree to enter into a Data Processing Agreement (DPA) as required by applicable law. 10. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information shared during the course of their business relationship. This includes pricing, technical specifications, and other proprietary information.
11. Account Verification and Limits
We have a 5-level verification system: Email, Mobile Number, Photo ID, Address, and Payment Method. Each level unlocks higher transaction limits and additional features. Merchants must provide accurate information during verification.
12. Fraud, Abuse, and Prohibited Activities
12.1 Payment Verification & Fraud Screening
All orders are subject to a manual or automated fraud review. We reserve the right to delay delivery or cancel any order that triggers a high-risk alert. We may require you to provide additional documentation (e.g., redacted government ID, proof of residence) to verify the legitimacy of a transaction.
12.2 Proxy/VPN Usage
We reserve the right to decline transactions made through high-risk IP addresses, including known VPNs, TOR nodes, or proxy servers used to circumvent regional restrictions.
12.3 Anti-Structuring and Automated Purchases
You are prohibited from using scripts, bots, or any automated software to complete the checkout process. We reserve the right to cancel any orders that appear to be part of a "carding" scheme (multiple small transactions used to test stolen credit cards) or "structuring" (breaking large payments into smaller ones to avoid detection).
13. Warranties and Disclaimers
The CY.SEND platform and services are provided "as is" and without any warranties, express or implied. We do not guarantee that the platform will be error-free or uninterrupted.
14. Limitation of Liability
In no event shall CY.TALK SWITZERLAND S.A. be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our platform or services.
15. Indemnification
Merchants agree to indemnify and hold harmless CY.TALK SWITZERLAND S.A. from any claims, damages, or losses arising out of their use of the platform or any breach of these terms.
16. Term and Termination
These terms shall remain in effect until terminated by either party. We may terminate these terms and your access to the platform at any time for any reason. Upon termination, you must cease all use of the platform and API.
17. Governing Law and Jurisdiction
These terms shall be governed by the laws of Switzerland. Any disputes arising out of or in connection with these terms shall be resolved in the courts of Geneva, Switzerland.
18. General Provisions
These terms constitute the entire agreement between the parties and supersede all prior agreements and understandings. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
